Terms of Service.

THE DETAILS MATTER

These terms govern your participation in the RhythLabs beta operated by Rhyth Labs LLC.

Eligibility

You must be at least 16 years old and legally able to agree to these Terms. You are responsible for accurate account information, maintaining your password, and activity under your account.

The beta

RhythLabs is a beta service. Features may be incomplete, change, pause, or be removed. Frequency NYC is preparing its first public events. Joining an artist interest or club opening list does not guarantee a booking, date, payment, ticket, or participation.

Your content

You retain ownership of content you submit. You give Rhyth Labs LLC a non-exclusive, worldwide license to host, store, reproduce, display, transmit, and format that content only as needed to operate, promote within, and improve RhythLabs. You may end this license by deleting the content or your account, subject to reasonable backups and legal retention.

Music and other rights

Only upload material you own or have permission to use. For music, you must control or have permission for all relevant composition, recording, performance, artwork, and collaborator rights. Do not upload content that infringes another person’s rights.

Acceptable use

Follow our Community Guidelines. Do not misuse the service, access accounts without permission, interfere with security, scrape the service, send spam, impersonate others, or use RhythLabs for unlawful activity.

Fan Access memberships

Where available, Fan Access is a separate subscription to an individual creator for $4.99 USD per month. Following creators and ordinary fan signup remain free. Creator activation is free. Your subscription renews automatically each month until canceled, and you authorize the recurring charge shown at checkout. Review the creator’s published benefits before joining. Creators must have the rights to, and provide, the benefits they offer.

Fan Access covers the creator’s designated members-only Social and Radio content. Track downloads are included only when the creator enables them. Livestreams, Club activities, tickets, and other shows are not automatically included; a creator must explicitly identify any included event or benefit when that feature is available. Access does not transfer ownership or permission to redistribute the content.

Cancellation and payment status

Cancel in Settings → Fan Access or the linked billing portal before your next renewal. Cancellation stops future renewal charges and preserves access through the paid billing period. Cancellation alone does not refund a completed payment. Unpaid renewals do not extend access; payment retries may occur through Stripe. Access may be restricted for a disputed payment. Deleting an account is not a substitute for canceling a subscription; contact support if account closure is blocked by active billing or a remaining paid period.

Creator fees and earnings

Rhyth receives 10% of membership revenue, rounded to the nearest cent, with payment processing deducted separately. At $4.99, Rhyth’s share is $0.50 before any applicable refund adjustments. Rhyth covers standard platform subscription software, hosting, and standard Connect payout costs from its share, without an additional Rhyth cash-out fee. Tickets and tips are separate transactions: Rhyth’s platform share is 0%, and creators receive the proceeds minus payment processing fees, subject to refunds and reversals.

Creators must complete Stripe onboarding and maintain an eligible payout account. Stripe’s connected-account terms apply. Creators are responsible for accurate payout information and applicable tax obligations; any taxes charged to a buyer must be disclosed before purchase.

Wallet and cashing out

The Wallet distinguishes pending funds, available funds, and completed payouts, with transaction and payout history. Membership earnings are money held in your connected Stripe account, separate from Rhyth credits. Pending earnings are not yet available to withdraw. Refunds, disputes, fees, and reversals can change balances.

Rhyth imposes no additional payout minimum. You may request a standard payout of your available balance to your linked bank account through the Wallet. Using cash out switches the connected account to payouts on request. Stripe’s minimum payout amounts, settlement requirements, account restrictions, and applicable holding-period limits still apply. Standard payouts are not instant, and bank arrival dates are estimates. Contact support for a failed or missing payout or help closing your account with a remaining balance.

Refunds and payment disputes

Request a membership refund in Fan Access settings or contact hello@rhythlabs.com. Support reviews duplicate or erroneous charges and benefits that were not delivered, subject to your rights under applicable law. A successful full refund ends access for the refunded billing period; a partial refund preserves the remaining paid access. Pending or failed refunds are not completed refunds.

Approved refunds reverse the corresponding Rhyth membership share proportionally. Processing fees may not be returned by Stripe; Rhyth covers those costs for refunds caused by a platform error. Refunds and chargebacks can reduce creator earnings, including after a payout. Nothing in these terms limits mandatory cancellation, refund, or other consumer rights.

Moderation and termination

We may review, restrict, remove, or preserve content and may suspend or terminate accounts when reasonably necessary to protect users, comply with law, or enforce these Terms. Contact us if you believe an action was taken in error.

Disclaimers

RhythLabs is provided on an “as is” and “as available” basis during beta. To the extent permitted by law, Rhyth Labs LLC does not promise uninterrupted availability or that every feature will be error-free. Nothing here limits rights that cannot legally be waived.
